• An offer capable of acceptance or a binding quotation

Products and services are supplied only under a separate written quotation, purchase order, service agreement, or other contract accepted by HPS. You must be at least 18 years old to use the Site. If you use the Site on behalf of a company or other organization, you represent that you have authority to act on its behalf and bind it to these Terms.

11. INDEMNIFICATION

12. GOVERNING LAW AND VENUE

 

These Terms and any dispute arising from or relating to the Site are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

 

Any legal action arising from or relating to the Site or these Terms must be brought exclusively in the state or federal courts located in New Castle County, Delaware. You consent to the personal jurisdiction and venue of those courts. Nothing in this section limits any non-waivable right available under applicable law.

14. GENERAL TERMS

 

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect, and the unenforceable provision will be enforced to the maximum extent permitted by law. HPS's failure to enforce a provision is not a waiver of that provision. You may not assign your rights or obligations under these Terms without HPS's prior written consent. HPS may assign these Terms as part of a merger, reorganization, sale of assets, or similar transaction.

 

These Terms and the Privacy Policy constitute the entire agreement between you and HPS concerning use of the Site, except where a separate written agreement applies.
