Heat & Power Services Limited : Use of website terms & conditions.

These Website Terms of Use ("Terms") govern your access to and use of https://www.heatandpower.us/ (the "Site"). The Site is operated by Heat & Power Services USA Inc., doing business as Heat & Power Services ("HPS," "we," "us," or "our").

 

By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

 

1. PURPOSE OF THE SITE

 

The Site provides general information about HPS and its engineering, maintenance, installation, technical support, and related services. Site content is provided for general informational purposes only.

 

Nothing on the Site constitutes:

 

• Engineering, design, operational, safety, legal, financial, or other professional advice

• A technical specification, instruction, warranty, or performance guarantee

• An offer capable of acceptance or a binding quotation

• A substitute for a site-specific assessment by appropriately qualified personnel

 

Do not rely on Site content to operate, maintain, modify, isolate, repair, or make safety decisions about gas, electrical, mechanical, cryogenic, pressure, or other industrial systems. Products and services are supplied only under a separate written quotation, purchase order, service agreement, or other contract accepted by HPS. If these Terms conflict with an executed contract concerning HPS products or services, that contract controls for the relevant products or services.

 

2. ELIGIBILITY AND AUTHORITY

 

You must be at least 18 years old to use the Site. If you use the Site on behalf of a company or other organization, you represent that you have authority to act on its behalf and bind it to these Terms.

 

3. PERMITTED USE

 

HPS grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Site for lawful business and informational purposes.

 

You must not:

 

• Use the Site in violation of any applicable law or regulation

11. INDEMNIFICATION

 

To the extent permitted by law, you agree to defend, indemnify, and hold harmless HPS and its affiliates, officers, directors, employees, agents, licensors, and service providers from claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising from your unlawful use of the Site, your material violation of these Terms, or your infringement of another person's rights.

 

12. GOVERNING LAW AND VENUE

 

These Terms and any dispute arising from or relating to the Site are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

 

Any legal action arising from or relating to the Site or these Terms must be brought exclusively in the state or federal courts located in New Castle County, Delaware. You consent to the personal jurisdiction and venue of those courts. Nothing in this section limits any non-waivable right available under applicable law.

 

13. CHANGES TO THESE TERMS

 

HPS may update these Terms from time to time. The updated Terms will be posted on this page with a revised Effective Date. Changes apply from the date posted. Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms.

 

14. GENERAL TERMS

 

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect, and the unenforceable provision will be enforced to the maximum extent permitted by law. HPS's failure to enforce a provision is not a waiver of that provision. You may not assign your rights or obligations under these Terms without HPS's prior written consent. HPS may assign these Terms as part of a merger, reorganization, sale of assets, or similar transaction.

 

These Terms and the Privacy Policy constitute the entire agreement between you and HPS concerning use of the Site, except where a separate written agreement applies.
